Building a Legacy Through Shared Ownership: M Culinary Concepts’ Journey to an ESOP
In the world of hospitality, creating memorable experiences is everything. But for Brandon Maxwell, CEO of M Culinary Concepts, it’s about more than just exquisite food and flawless service. It’s about building a legacy – a legacy shared with the talented individuals who bring M Culinary’s vision to life.
This vision took a bold step forward in 2023 with the company’s transition to an Employee Stock Ownership Plan (ESOP), making M Culinary a 100% employee-owned business.

From Dishwasher to CEO: A Passion Ignited
Brandon Maxwell’s journey in hospitality began early, instilled by his parents who worked in the restaurant industry. His first foray into the world of food service came at the young age of 14 as a dishwasher. From there, he worked his way up, gaining experience as a cook, bartender, and eventually manager. This hands-on experience created a deep appreciation for the dedication and teamwork required to create exceptional dining experiences.
Maxwell’s passion for the hospitality industry led him to pursue a degree in Hotel Administration from Cornell University. Armed with both academic knowledge and practical experience, he embarked on his entrepreneurial journey, opening a restaurant and nightclub in California. After a setback caused by a natural disaster forced him to pivot, he landed in Scottsdale, Arizona, where he partnered with Chef Michael DeMaria to open Michael’s at the Citadel in 1997. The restaurant’s success led to a surge in catering requests, ultimately leading M Culinary Concepts to dedicate all its resources to the catering arm of the business in 2008.
Today, M Culinary boasts an impressive track record, catering major sporting events like the Waste Management Phoenix Open for over 24 years. The ability to handle events of all sizes, from intimate gatherings to massive events serving 200,000 people, is a testament to our expertise and dedication.

A Culture Built on Teamwork and Shared Success
The spirit of M Culinary is deeply rooted in its operational background. It’s a culture that thrives on teamwork, problem-solving, and a shared commitment to delivering exceptional service. This collaborative spirit stems from the company’s early days, where a “figure it out” mentality fueled their success. As Maxwell says, “We didn’t always have all the answers beforehand, but we had each other, a team pulling on the rope together.”

Empowering Employees Through Ownership: The ESOP Advantage
As M Culinary looked towards the future, succession planning became a key consideration. With no family members interested in taking over, Maxwell sought a way to ensure the company’s legacy – a legacy built by its employees – would continue to thrive. Selling to an outside entity wasn’t the answer. The answer came in the form of an ESOP.
An ESOP offers employees a unique opportunity to become owners of the company they work for. Over time, a portion of the company’s ownership is gradually “assigned” to employees, essentially giving them a stake in the company’s success. The value of these shares grows alongside the company’s profitability. It’s a retirement account that grows with the company, directly tied to its success.
This model isn’t about a get-rich-quick scheme. However, as employees accumulate shares and the company grows, the value of those shares increases. When employees leave the company or retire, they can sell their shares and potentially receive a significant sum of money.

From Shared Ownership to Shared Success
The decision to transition to an ESOP wasn’t without its challenges. Fortunately, M Culinary partnered with WealthPoint, a Phoenix-based wealth management and ESOP administration company, to guide them through the process. Their expertise and support were invaluable in navigating the complexities of the ESOP structure.
What makes M Culinary stand out? The ESOP structure fosters a sense of shared ownership and responsibility among all employees. This translates into a more engaged workforce, where everyone takes a personal interest in the company’s success. Team members understand that their efforts directly contribute to the company’s profitability, which in turn increases the value of their stock. It’s a win-win situation for everyone involved.

The Keys to a Thriving ESOP
M Culinary recognizes that successfully leveraging the power of an ESOP requires careful planning and execution. Here are the key elements they believe are crucial:
Education: Equipping employees with a clear understanding of the ESOP program is essential. M Culinary has partnered with WealthPoint to provide ongoing educational workshops and resources.
Professional Management: Working with a reputable ESOP development company ensures compliance and smooth operation of the program.
Customer Awareness: M Culinary plans to leverage this as a differentiator, attracting customers who appreciate the unique experience an employee-owned business.
